If you are using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, you may not access or use the Service.

2. Description of Service

Uconnec provides a comprehensive influencer marketing solution that enables advertisers, brands, and agencies to discover influencers across YouTube, Instagram, and Naver Blog, predict advertising costs, send recruitment proposals, and manage influencer campaigns. The platform includes automated outreach, campaign dashboards, analytics, and performance reports. Any new features or tools added to the current Service shall also be subject to these Terms.

3. Eligibility & Account Registration

To use certain features of the Service, you may need to register for an account. You must be at least 18 years old or the age of majority in your jurisdiction. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are solely responsible for all activities that occur under your account. Notify us immediately of any unauthorized use. Uconnec reserves the right to suspend or terminate accounts that violate these Terms.

4. Prohibited Conduct

You agree not to misuse the Service or help anyone else to do so. For example, you must not:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Harvest, scrape, or collect information about influencers or other users without their consent.
• Interfere with or disrupt the integrity of the Service or servers/network connected to Uconnec.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a brand/agency.
• Post or transmit any content that is defamatory, obscene, fraudulent, or infringing third-party intellectual property rights.
• Attempt to reverse engineer, decompile, or extract source code from any part of the Service.

5. Intellectual Property Rights

The Uconnec platform, its logo, design, text, graphics, software, and underlying technology are owned by Uconnec Inc. and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.

Influencers and brands retain ownership of any content (images, videos, campaign briefs, etc.) they submit through Uconnec, but by using the platform you grant Uconnec a limited license to host, display, and transmit such content solely for operating and improving the Service.

6. Fees & Payments

Certain features of Uconnec (such as advanced influencer search, cost prediction analytics, and bulk outreach) may be subject to fees. Our pricing plans are described on the Pricing page. All fees are exclusive of applicable taxes. By subscribing or using paid features, you agree to pay all charges in accordance with our billing terms. We may use third-party payment processors; you agree to comply with their terms as well. Unless otherwise stated, fees are non-refundable except as required by law.

7. Campaigns & Recruitment Proposals

Uconnec facilitates communication between brands and influencers but is not a party to any final agreement between them. We do not guarantee that influencers will accept proposals, nor do we guarantee campaign results (e.g., engagement rates, reach, conversions). Brands are responsible for providing accurate campaign details and complying with influencer marketing regulations. Uconnec may, at its discretion, offer dispute assistance but has no obligation to mediate payment or content disputes.

8. Privacy & Data Handling

Your use of the Service is also governed by our Privacy Policy (incorporated by reference). We collect, store, and process personal data (including influencer metrics, brand profiles, and communication logs) to deliver and enhance the platform. 9. Third-Party Links & Integrations

The Service may contain links to third-party websites (e.g., YouTube, Instagram, Naver) or integrate with external APIs. Uconnec does not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party sites. Your interactions with integrated platforms are solely between you and the third party.

10. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. UCONNEC PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. TO THE FULLEST EXTENT PERMITTED BY LAW, UCONNEC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION OBTAINED FROM THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

11. Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, UCONNEC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO UCONNEC (IF ANY) DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU HAVE NOT PAID ANY FEES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Uconnec Inc. and its employees, agents, and partners from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Service in an unlawful or unauthorized manner; (c) any content or campaign materials you submit; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

13. Modifications to Terms & Service

Uconnec reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice via the platform or email. By continuing to access or use our Service after revisions become effective, you agree to be bound by the updated terms. We also reserve the right to modify, suspend, or discontinue any part of the Service without liability.

14. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including sections on intellectual property, warranty disclaimers, indemnity, and limitation of liability) shall survive.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment upon the award may be entered in any court having jurisdiction. The arbitration shall take place in Wilmington, Delaware, and each party shall bear its own costs unless otherwise required by applicable law.

16. Miscellaneous

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. No waiver by Uconnec of any term shall be deemed a further or continuing waiver. These Terms constitute the entire agreement between you and Uconnec regarding the Service, superseding any prior agreements. You may not assign these Terms without our written consent, but we may assign them without restriction.
